1. Scope of Services

The Service Provider agrees to provide the following services:

☐ Graphic Design (flyers, business cards, logos, magnets, etc.)
☐ Website Design / Development
☐ Website Maintenance
☐ Branding Services
☐ Other: __________________________

A detailed description of services, timeline, and deliverables will be outlined in an attached proposal or invoice.

2. Payment Terms

• A non-refundable deposit  of 50% is required before work begins.
• The remaining balance is due upon completion, prior to final file delivery or website launch.
• Monthly services (if applicable)  are billed at $ 75 per month and due on the 3rd day of each  month.
• Late payments exceeding 7 days may include a $25 late fee.

Failure to pay may result in suspension of services or withholding of final files.

3. Revisions

• Graphic design projects included up to 3 revisions unless otherwise specified.
• Additional revisions will be billed at $ 35 per hour.
• Major changes after approval may require a new agreement or additional charges.

4. Client Responsibilities

The Client agrees to:

• Provide all necessary content  (logos, text, images, branding materials) in a timely manner.
• Respond to proofs and communications within 5 business days.
• Ensure they have rights or  permission to use all provided materials.

Delays in client communication may extend project timelines.

5. Project Timeline

Project timelines begin once the deposit is received and all required materials are provided.

Walk By Faith Graphic Web Designs is not responsible for delays caused by the client or third-party providers.

6. Ownership & Intellectual Property

• Final designs become the property of the Client only after full payment is received.
• Walk By Faith Graphic Web Designs retains the right to display completed work in portfolios, websites, and marketing materials unless otherwise agreed in writing.
• Drafts and unused concepts remain  property of the Service Provider.

7. Website Hosting & Maintenance

If website hosting or maintenance is provided:

• Hosting fees must be paid monthly to avoid service interruption.
• Walk By Faith Graphic Web Designs  is not liable for downtime caused by hosting companies, domain registrars,  or third-party platforms.
• Backups are recommended but not guaranteed unless specifically included in service package.

8. Cancellations & Refunds

• Deposits are non-refundable.
• If a project is canceled after  work has begun, the Client is responsible for payment for all work  completed up to cancellation date.
• Monthly services may be canceled  with 30 days written notice.

9. Limitation of Liability

Walk By Faith Graphic Web Designs shall not be liable for:

• Lost profits
• Business interruption
• Data loss
• Indirect or consequential damages

Total liability shall not exceed the amount paid under this Agreement.

10. Confidentiality

Both parties agree to keep confidential any sensitive business or personal information shared during the project.  

11. Entire Agreement

This document represents the entire agreement between the parties and supersedes all prior discussions or agreements.

Any amendments must be made in writing and signed by both parties.
